UCF Office of Research – Contracts Overview

The UCF Office of Research – Contracts Office supports research and educational efforts by managing agreements with external entities. These agreements are essential for research activities, with the UCF Board of Trustees (UCF BOT) as the legal party. The office handles both funded and unfunded agreements, such as sponsored research agreements (SRAs) and data use agreements (DUAs).

Contracts Officers are assigned based on the department and type of agreement. For current assignments and the organizational chart, please refer to the section below.

Sponsored Research Agreement (SRA)

A Sponsored Research Agreement (SRA) is a contract that provides funding for research conducted in collaboration with external sponsors, including for-profit companies, government agencies, and nonprofit organizations. SRAs can be structured as either Fixed Price or Cost Reimbursement agreements, depending on the funding terms and project scope.

Fixed Price SRA Template

A Fixed Price Sponsored Research Agreement (SRA) provides a set amount of funding for a research project, regardless of actual costs incurred. This type of agreement offers predictable budgeting but requires the project to be completed within the agreed-upon funding amount.

 

Cost Reimbursement SRA Template

A Cost Reimbursement Sponsored Research Agreement (SRA) covers actual project expenses up to a specified limit. The sponsor reimburses costs as they are incurred, providing flexibility for research projects with variable expenses.

 

Master Agreement

A contract that covers multiple research projects under one agreement. Project-specific details are added via a task order. An MA requires comprehensive negotiation but expedites the processing of task orders.

Cost Reimbursement MA Template

A Cost Reimbursement Master Agreement establishes a framework for multiple research projects where costs are reimbursed based on actual expenses incurred. This flexible agreement allows for ongoing collaboration with a sponsor while ensuring funding covers the necessary project costs.

 

Fixed Price MA Template

A Fixed Price Master Agreement sets predefined funding amounts for multiple research projects under a single contract. Each project is funded at a set price, providing financial predictability while requiring deliverables to be completed within the agreed budget.

 

Confidential Disclosure Agreement

Ensures that shared information is kept confidential for limited purposes. Also known as Non-Disclosure Agreements (NDAs).

Individual CDA Template

(for exchanging information with an individual)

 

Two-Party CDA Template

(for exchanges with an external entity)

 

Multi-Party CDA Template

(for exchanges with multiple entities)

 

Material Transfer Agreement (MTA)

Required for receiving materials from non-UCF entities. UCF’s Technology Transfer Office manages MTAs where UCF is sending materials to external entities.

UCF utilizes modified AUTM templates to include terms regarding liability and document retention.

MTA Incoming Template

A Material Transfer Agreement (MTA) governs the exchange of research materials between institutions or organizations. It outlines the terms for use, ownership, intellectual property rights, and any restrictions on how the materials can be used in research.

 

Data Use Agreement (DUA)

Required when transferring data or datasets. Can involve human subject data and may be either Incoming (UCF receives data) or Outgoing (UCF shares data). Often referred to as a Data Transfer and Use Agreement (DTUA).

Incoming DUA Template

An Incoming Data Use Agreement (DUA) establishes the terms under which an institution receives data from an external entity. It defines data usage rights, confidentiality, security requirements, and compliance with regulations to ensure proper handling of the shared information.

 

Outgoing DUA template

An Outgoing Data Use Agreement (DUA) outlines the conditions for providing data to an external party. It specifies permitted uses, data protection measures, intellectual property considerations, and any restrictions to safeguard the data and comply with applicable policies.

 

Florida Statute 286.101 Reporting Requirements for Entities Wanting to Engage in Business with UCF

UCF is a state agency. Section 286.101, Florida Statutes requires any entity that applies to a state agency or political subdivision for a grant or proposes a contract with a value of $100,000 or more to disclose to the state agency or political subdivision any current or prior interest in, any contract with, or any grant or gift received from a foreign country of concern if such interest, contract, or grant or gift has a value of $50,000 or more and such interest existed at any time or such contract or grant or gift was received or in force at any time during the previous 5 years.

Such disclosure must include the following details:

  • The name and mailing address of the disclosing entity
  • The amount of the contract, grant, or gift, or the value of the interest disclosed
  • The applicable foreign country of concern
  • The date of termination of the contract or interest (if applicable)
  • The date of receipt of the grant or gift (if applicable)
  • The name of the agent or controlled entity that is the source or interest holder

Within 1 year before applying for any grant or proposing any contract, such an entity must provide a copy of the disclosure to the Department of Financial Services. For more information regarding this disclosure requirement, please review Section 286.101, Florida Statutes.
