Template Agreements


The UCF Research Foundation (UCFRF) Contracts team supports the research and educational efforts of the university through drafting, reviewing, and negotiating funded agreements and non-funded agreements related to sponsored activities.

The review and negotiation process includes the evaluation of terms and conditions, and confirming compliance with applicable federal and state laws, regulations, and university policies and guidelines. When external partners utilize unmodified versions of the Research Foundation's standard templates, the time between initiation of the agreement and final signature is reduced.



Who has the authority to sign agreements related to sponsored activities?

The authority to sign agreements related to sponsored activity, both funded and non-funded, on behalf of UCFRF is delegated from the President of UCF to specific individuals. Only individuals with a written signature authority delegation may sign contracts on behalf of the UCFRF. For more information, see the Legal Services webpage.



How is the UCF Research Foundation Contracts team different from the Office of Research Contracts team?

The UCFRF Contracts team and the Office of Research (OR) Contracts team both create, review, and negotiate sponsored activity agreements for the university. The UCFRF Contracts team manages agreements from International Sponsors, Industry-Initiated Clinical Trials, Local Government Agencies, Private Foundations, and Professional Organizations. The UCFRF Contracts team also accepts all research-related Donations, regardless of sponsor. With prior approval from the Vice President for Research, the UCFRF Contracts team may also manage agreements with other sponsor types (Federal, Industry, State of Florida, etc.). How is the UCFRF Contracts team different from the Office of the General Counsel?

The Office of the General Counsel represents the university in all legal, judicial, and regulatory matters, and renders legal advice to the Board of Trustees, President, President's cabinet and other administrators, faculty, and staff in their official capacities. The UCFRF Contracts team does not provide legal advice to any university representative or employee in their official capacity, nor represents the university in legal and regulatory matters.



How is the UCF Research Foundation Contracts team different from the Office of Technology Transfer (OTT)?

The Office of Technology Transfer (OTT) is responsible for managing the university's intellectual property assets and supporting the commercialization of discoveries made at UCF. Apart from outgoing Material Transfer Agreements, OTT does not negotiate nor sign contracts related to sponsored activities. However, the UCFRF Contracts team consults with OTT about intellectual property terms in certain situations.



How is the UCF Research Foundation different from the UCF Foundation?

The UCF Foundation encourages, stewards, and celebrates charitable contributions from alumni and friends to support UCF student scholarships, invest in faculty excellence, construct new facilities, and expand important programs. The UCF Research Foundation accepts charitable contributions from sponsors and individuals to grow and sustain faculty and student research activities. The UCF Research Foundation also supports the research and educational efforts of the university through drafting, reviewing, and negotiating funded agreements and non-funded agreements related to sponsored activities.


Sponsored Research Agreement

An agreement between an entity ("Sponsor") and UCFRF, where the Sponsor provides funding to UCFRF to support the performance of a specified research project or related activity. The agreement describes the obligations of both parties, including a description of the project, timelines, financial support, reports, intellectual property rights and more. The sponsor may be a governmental agency, nonprofit or for-profit organization, foreign entity, university, or professional organization.

Service Activity Agreement

An agreement under which an external party (“Purchaser”) procures the services of a UCF faculty member to complete a specified scope of work. The services procured are the same as those a faculty member provides to a range of customers. Activities include work for hire, testing, and analysis not provided under one of UCF’s recharge centers. Payment is contingent on the faculty member's performance. The work is performed in accordance with the Purchaser's specifications and the Purchaser usually owns all outputs delivered by the faculty member in performance of the agreement.

Donation Letter

A voluntary, non-reciprocal transfer of money or property for the research purposes designated by the donor. The donor does not expect anything of value in return other than recognition and releases all control over the gift. UCFRF accepts donations in accordance with UCF Policy 4-210.1.


Nondisclosure Agreement

A legally binding contract in which the parties agree to exchange confidential information for a particular purpose, treat the information as confidential for a specified period, and not disclose the information to others without proper authorization. This agreement may also be referred to as a Confidential Disclosure Agreement, CDA, or NDA.

Master Research Agreement

An agreement that defines the terms for a single sponsor to fund multiple research projects over an extended period by streamlining the negotiation process. The approved terms are applied to every project performed under the agreement with out the need to negotiate each time. A template scope of work and any other project specific information, such as a budget, are attached to the Master Research Agreement as addenda.

Material Transfer Agreements

An agreement that governs one party ("Provider") giving UCFRF ("Recipient") tangible materials for a specific research or academic purpose. This agreement defines the rights, obligations and restrictions of the Provider and Recipient with respect to the materials, and any derivatives or inventions developed due to the Recipient's use of the materials.

UCFRF uses the Uniform Biological Material Transfer Agreement (UBMTA) and Association of University Technology Managers (AUTM) Material Transfer Agreement templates. The AUTM MTA templates are modified to clarify UCFRF's assumption of liability requirements and affirm UCFRF's right to retain one copy of all documents for legal and archival purposes.

The Office of Technology Transfer negotiates all Material Transfer Agreements where UCF-owned materials are sent to an external entity.


Data Transfer and/or Data Use Agreement

An agreement outlining the terms for the transfer of nonpublic data or datasets between organizations. This agreement specifies the scope of data to be disclosed, access requirements, nondisclosure obligations, and purpose for which the data is used. It may identify IRB and other regulatory requirements when human subject's data is to be disclosed. UCFRF utilizes the Data Transfer and Use Agreement templates of the Federal Demonstration Partnership (FDP).


Memorandum of Understanding Agreement

An agreement between two or more parties planning to create a cooperative research or educational partnership. This agreement, also called an MOU, outlines the relationship that will be created, the objectives, and each party's expected actions. An MOU is not a legally binding agreement and should not include payment terms, confidentiality requirements, intellectual property rights, or publication.

Allocation of Rights Agreement

A non-monetary agreement establishing the rights between parties to existing and future intellectual property when intellectual property rights must be established prior to an award document. Most commonly used for SBIR and STTR proposals and awards as it ensures all background intellectual property is identified and protected while establishing rights to intellectual property.
